The standard procedure for their preparation is: information exchange (usually confidential) between two or more parties; discussion and negotiation (usually without lawyers) to further clarify each party’s rights and obligations and the key terms; and contract preparation – a written agreement, prepared by lawyers, that documents the key aspects of the agreement and which usually involves some further negotiation before both parties are satisfied and the contract is signed.
While contracts can be verbal or written, neither might be entirely enforceable unless properly structured. Remember, terms in writing are easier to prove than those agreed to verbally, particularly when mitigating disputes.
